Stallion Uranium Corp. (the \u2018 Company \u2018 or \u2018 Stallion \u2018 ) ( TSX-V: STUD ; OTCQB: STLNF ; FSE: FE0 ) announces that the\u00a0British Columbia Securities Commission (the \u2018 BCSC \u2018), as the principal regulator of the Company, issued a cease trade order (\u2018 CTO \u2018) against the Company on\u00a0May 7 th 2025\u00a0for the Company\u2019s failure to file its audited annual financial statements, accompanying management discussion and analysis and certifications for the financial year ended\u00a0December 31 st 2024\u00a0(the \u2018 Annual Filings \u2018). As a result of the CTO,\u00a0the TSX Venture Exchange (the \u2018 Exchange \u2018) has suspended trading of the Company\u2019s common shares.<\/p>\n

The\u00a0Company continues to work diligently with its auditors to facilitate the completion of the Annual Filings and expects to file the Annual Filings on or before\u00a0May 20 th , 2025. <\/p>\n

The CTO was issued under Multilateral Instrument 11-103 \u2013 Failure-To-File Cease Trade Orders In Multiple Jurisdictions <\/em> and prohibits the trading or purchase by any person or company of any securities of the Company in each jurisdiction in\u00a0Canada\u00a0in which the Company is a reporting issuer for as long as the CTO remains in effect; however, the CTO provides an exception for beneficial securityholders of the Company who are not currently (and who were not as of\u00a0May 7 th , 2025) insiders or control persons of the Company who may sell securities of the Company if both of the following criteria are met: (a) the sale is made through a foreign organized regulated market, as defined in Section 1.1 of the universal market integrity rules of the Investment Industry Regulatory Organization of\u00a0Canada; and (b) the sale is made through an investment dealer registered in a jurisdiction of\u00a0Canada\u00a0in accordance with applicable securities legislation. <\/p>\n
